Terms and Conditions of Use
The website flashmarket.md and the corresponding application ("Platform") are owned and operated by LLC "Flashmarkets" (ID No. 405768076 ; Address: Georgia, Tbilisi, Vake District, Zura Avalishvili Street, No. 12). These Terms and Conditions ("Agreement") apply solely to this Platform and the services included therein (collectively, our "Services"). These Terms and Conditions constitute a legally binding agreement between you and Flashmarket, governing your use of the Platform and our Services.
By creating an account on the Platform or using the Platform, you agree to these Terms and Conditions without limitation or exception. If you do not agree to the Terms and Conditions, please discontinue using the Platform or contact us to request an individualized agreement. The conclusion of an individualized agreement will depend on the mutual agreement of the parties in the future.
What is Flashmarket.md?
Flashmarket.md connects individuals who wish to sell their owned product ("Sellers") with individuals who wish to purchase the product ("Bidders"). The Platform serves solely as a meeting point and intermediary platform between Sellers and Bidders.
When we use the term "you" in these Terms, it refers to any user, whether a Seller, Bidder, other registered user, or unregistered user. When a specific term is used, it refers only to that category of user.
Flashmarket.md is a platform that connects Sellers and Bidders and is not responsible for the quality, factual or legal status of the property, or any information related to the property. The Seller is solely responsible for the information they post on the Platform. Flashmarket is neither authorized nor responsible for verifying the accuracy of the posted information.
Privacy
We will use and share personal information to connect Bidders with Sellers, as well as with our service providers who facilitate the services listed below. For more information about our privacy practices, please review our Privacy Policy.
Changes to Terms of Use
Flashmarket reserves the right to update, modify, or revise these Terms and Conditions at any time. Any changes will take effect immediately upon posting on the Platform. The Platform will indicate the date of the last update. You are obligated to check the date of the last update of the Terms and Conditions each time you use the Platform and, in case of changes, familiarize yourself with them. Your continued use of the Platform after changes to the Terms and Conditions constitutes your acceptance of the revised terms.
How to Purchase an Item
To purchase an item through an auction on Flashmarket.md, create an account or log in. Search for the desired item on the website, purchase the desired number of tickets, and wait for the auction day. If you win the auction, visit the Flashmarket.md office within one week to collect the item.
Eligibility
The Platform and the services offered by us are not intended for minors.
By accessing or using the Platform and/or Services, you represent that you have the legal capacity to enter into this Agreement and fulfill the obligations set forth herein.
Flashmarket does not produce, sell, purchase, store, prepare, process, or package product. Flashmarket is not responsible for fulfilling contractual obligations related to the product, including its sale, purchase, storage, preparation, processing, labeling, delivery, or quality.
The site administration has the right, but not the obligation, to cancel an auction if attendance is less than 50% of ticket holders.
What is Flashmarket.md?
Flashmarket is the premier interactive auction platform where participants can secure premium products via accessible, ticket-based bids. By seamlessly integrating entertainment, competitive engagement, and e-commerce, we pioneer a novel and dynamic online shopping experience.
User Account
You must register an account on the Platform to access some or all of our Services. When registering an account, you must provide accurate and complete information and promptly update this information if it changes. You are responsible for any activity conducted through your account and must immediately notify us if you discover or suspect that someone has accessed your account without your permission. If you allow others to use your account, you are responsible for their actions.
You acknowledge and agree that a third party who gains access to your account, until Flashmarket is notified and given a reasonable period to block the account, will have access to the account and may undertake obligations on your behalf. Any actions performed on the Platform using your profile will be deemed to have been performed by you, and you will bear the resulting obligations.
Certain data, potentially including personal data, such as user details and your profile picture, will be collected to provide the Platform’s functionalities to you and other users. For these purposes, such data may also be shared with third parties involved in providing the Platform’s services. Please review our Privacy Policy for more information about your personal data.
You represent and warrant that: (a) the user details you provide are accurate; (b) if applicable, your profile picture depicts only yourself and not others; (c) you do not violate any privacy rights by providing and using user details and profile pictures; (d) you are 18 years of age and possess a valid debit card, credit card, or other payment method available on the Platform for payments; (e) you are not under the influence of alcohol, narcotics, psychotropic, toxic, or other intoxicating substances and will not use the Platform in such a state; (f) you will not use the Platform for illegal purposes, including fraud or money laundering.
You grant Flashmarket the right to: (1) use your user details and profile picture (if provided) in connection with presenting your user profile, which you acknowledge is visible to other users; and (2) share your user details and profile picture with other entities involved in providing the Platform’s services.
By creating an account on the Platform, you agree to receive all relevant information in Moldovan, Russian or English. Additionally, you agree that information related to you, necessary for the provision of Services, will be stored by Flashmarket in accordance with Flashmarket’s Privacy Policy.
Furthermore, by creating an account on the Platform, you agree to receive emails and text messages related to the services offered by the Platform.
Fees
Use of the Platform is free, but certain Services require payment of fees to us (as outlined below). If you choose to use paid Services, you agree to the terms listed below, as we may amend them from time to time. We reserve the right to make some or all Services paid in the future. We will notify you before any Service you use (other than those listed below) becomes paid.
Flashmarket Fee – Flashmarket’s fee is 30% of the property’s value as determined by the Seller. After the property is sold at auction, the Seller receives the full amount from ticket sales, minus Flashmarket’s fee.
All information you provide in connection with a purchase must be accurate, complete, and true. You agree to pay all charges incurred through the use of your credit card, debit card, or other payment method on the website in connection with sales/purchases. You also agree to pay any applicable taxes, if any, related to any sale/purchase.
All purchases made through the Platform and/or Services are conducted between the respective Buyer and Seller. For this reason, if you request a refund related to a purchase or have any questions about your purchase, you must directly contact the relevant Seller.
When Can I Purchase Tickets?
The Seller sends request to Flashmarket to list a product and undergoes scrutiny to check it meets the requirements. The Seller then selects the desired number and price of tickets from the options suggested by the Platform. Before the auction begins, the Seller is entitled to adjust the property’s value by changing the ticket price, except for tickets already sold.
After the Seller lists the property on the Platform, Bidders may begin purchasing their desired number of tickets. One ticket allows for five bids. A Bidder may not purchase more than 5% of the total tickets. The auction will start at a predetermined time. If the tickets are not sold by that time, the Seller may change the auction date or cancel the auction.
The electronic auction may end without all Bidders fully using their purchased bids. However, the cost of purchased tickets (even if unused) is non-refundable to the Bidder.
From the time the property is listed on the Platform until the auction starts, the Seller may decide to proceed with the auction based on the sold tickets or remove the listed property. In such cases, the total value of the sold tickets will constitute the property’s total value, including Flashmarket’s fee. If the property is removed, the purchased tickets are canceled, and Bidders are refunded the full amount paid, minus the cost of refund processing (bank fees).
Seller's Obligations
A user who lists property for sale on the Platform as a Seller is responsible for the legal and factual condition of the product and the accuracy and completeness of the information provided about it. The Seller is also fully responsible for transferring the product to the winning Bidder, Flashmarket staying as an intermediary ensuring transfer happens successfully by signing of both parties a handover acceptance act.
Once the product is listed on the Platform, until the auction concludes or the property is removed, the Seller may not make the product available through any other auction or sale method.
The Seller is obligated to transfer the purchased product to the winning Bidder in the condition described on the Platform. If the product does not factually match the description provided on the Platform or cannot be transferred due to the Seller’s fault (e.g., the product is not/no longer owned by the Seller, is destroyed, or lost), the winning Bidder is entitled to request the cancellation of the auction results and a refund of the amount paid. In such cases, the Seller is still obligated to pay our fees (including the “Buyer’s Fee”). Until the amount is refunded to the Buyer, Flashmarket is entitled (but not obligated) to refund the Bidders from the funds held in the escrow account.
Bidder's Obligations
The auction continues until a user wins the item. For example, if one user places a bid and no other bids are placed within the first 4 seconds, the first user wins the item.
How and Where to Receive a Won Item
Each Bidder acknowledges and agrees that each bid placed is binding, and if they are the winner, they are also obligated to pay the Platform’s fees. The winning Bidder and Seller must determine the time and place of property delivery, unless specified in the auction terms.
As a potential Buyer, the Bidder acknowledges and agrees that Flashmarket does not bear no risk related to purchasing product from a Seller listed on the Platform.
Payment
Users can pay for purchased tickets and the Platform’s fees using various branded debit and credit cards, as well as other payment methods available on the Platform.
If you use a credit or debit card, you must enter the name, number, expiration date, and security code on the card.
The amount paid for tickets is credited to a nominal account and transferred to the Seller after the auction concludes. Flashmarket may modify, edit, or restructure the payment procedure for its users as deemed appropriate.
The Platform uses PCI-compliant payment service providers. Payments made via debit or credit card on the Platform are secure and verified by the card issuer. All payments are processed through an encrypted internet connection.
Flashmarket does not store debit or credit card information. Such information is processed by payment service providers. However, such information may be stored by payment service providers.
By accepting these Terms, you agree to the payment methods outlined above and acknowledge that Flashmarket is not responsible for any issues related to the above.
Flashmarket does not assume responsibility for preventing theft or fraud related to a user’s card. Since Flashmarket cannot guarantee the identity of registered users, you are obligated to notify Flashmarket if you have evidence that a card linked to your account has been stolen or used fraudulently by a third party. As Flashmarket and its service providers implement appropriate security measures to protect users, if you fail to notify us of a lost card, Flashmarket will not be responsible for any fraudulent activity on your bank account. Flashmarket advises users to report theft, robbery, or suspected misuse of their credit card to the police.
Users are obligated to securely store their account access codes and never disclose them to third parties.
Users bear full responsibility for any actions performed through their account.
If necessary, Flashmarket assumes responsibility to assist users and cooperate with competent authorities by sharing evidence related to improperly deducted amounts. In cases of detected fraud, Flashmarket reserves the right to take appropriate action if the Platform’s misuse affects it.
Relationship Between the Auction Winner and the Seller
The Seller is obligated to transfer the purchased property to the winning Bidder in the condition described on the Platform in Flashmarket office.
After the auction concludes, the transfer and receipt of the property are managed independently by the winning Bidder and Seller, ratified by a handover acceptance act. The winning Bidder can confirm or deny receipt of the property through their personal account. The Bidder is also entitled to indicate through their personal account that the received property does not match the characteristics listed in the auction. Within 3 (three) business days of the winning Bidder’s confirmation, Flashmarket transfers the full amount due to the Seller, minus transfer costs (bank fees) and Flashmarket’s fee.
If the winning Bidder does not confirm or deny receipt of the property through their personal account within 10 (ten) business days, it is deemed that the winning Bidder has received the property, which is equivalent to confirmation.
If the winning Bidder denies receipt of the property or indicates that the product does not match the listed characteristic, the Seller receives this notification. If the Seller does not agree to the allegation, the winning Bidder and Seller are entitled to independently seek resolution through Moldova’s general courts. Until the issue is resolved, Flashmarket suspends all actions related to the auction (including fund transfers). Procedures will resume only under one of the following circumstances: (a) the Seller and winning Bidder jointly submit a written statement to Flashmarket confirming one of two scenarios: 1. The product was properly transferred to the winning Bidder (in which case the Seller receives the corresponding amount), or 2. The product was not transferred or was transferred improperly; (b) the Seller and/or winning Bidder presents Flashmarket with a legally binding court decision; (c) Flashmarket receives a directive from an authorized state body clearly stating how Flashmarket should proceed.
Right to Complain
The winning Bidder must address any complaints regarding defects in the purchased property directly to the Seller. Flashmarket is not a complaint-handling body and cannot make decisions regarding the legal relationship between the Seller and the Buyer.
Code of Conduct
You are responsible for your conduct when accessing or using our Services and are obligated not to:
- Violate applicable laws, contracts, intellectual property, or other third-party rights;
- Engage in any offensive, disrespectful, discriminatory, threatening, intimidating, violent, predatory, or stalking behavior;
- Use or attempt to use another user's account without authorization from that user and Flashmarket;
- Use our Services in any way that may interfere with, spam, negatively impact, or hinder other users from fully accessing our Services;
- Violate any additional rules or restrictions posted in any Service regarding your conduct in those Services;
- Create or use any application that interacts with our Services without our prior written consent;
- Engage in or encourage any activity related to deception, hacking, fraud, altering or manipulating Services, gaining unfair advantages within the Services, or otherwise misusing the Services;
- Process other users' information unrelated to a purchase;
- Use our Services for any illegal or unauthorized purpose or engage in or encourage any activity that violates these Terms.
Any information or notification submitted by a user through the Platform must not:
- Contain defamatory, obscene, or offensive material;
- Promote violence or discrimination;
- Violate the intellectual property rights of any individual or legal entity;
- Breach any legal obligation owed to a third party (such as a duty of confidentiality);
- Promote illegal activity or invade another's privacy;
- Create the impression that it was authored by us;
- Be used to impersonate another person or misrepresent an affiliation with another person;
- Be false, inaccurate, incomplete, or mislead users;
- Serve fraudulent purposes, deceit, or abuse of trust;
- Relate to a third party's tangible or intangible property without proper authorization or violate a third party's personal rights;
- Contain information that harms a third party's dignity or business reputation;
- Contain direct or indirect discrimination based on religion, ethnicity, or any other form of minority status;
- Contain threats against anyone;
- Incite anyone to commit a criminal act;
- Support or provoke terrorist or extremist actions;
- Contain pornographic content;
- Contain promotional information about property, items, services, or companies unrelated to the listing;
- Violate Moldovan legislation in any other way.
Although we are not obligated to screen, edit, or monitor content, we may remove or edit content at any time.
Limitation of Liability
Flashmarket is not a party to the agreement between Bidders and Sellers and is not responsible for the actions of either party. All negotiations are conducted directly between the Bidder and the Seller.
Flashmarket is not responsible for the accuracy of information posted on the Platform.
Flashmarket does not guarantee that the information provided about a Bidder or Seller matches their actual details.
Flashmarket is not responsible for the loss or damage of information posted on the Platform or the loss of notifications.
Flashmarket does not guarantee the continuous and uninterrupted operation of the Platform.
Flashmarket is not liable for damages arising from: (i) matters for which the Seller is responsible; (ii) third-party errors or indefinite delays affecting the Platform’s availability; (iii) the content of websites linked to the Platform, including the accuracy and data protection policies of linked sites.
Flashmarket is liable only for direct damages and will not, under any circumstances, be responsible for indirect or moral damages.
Intellectual Property
Users may use the Platform and print or download extracts from the Platform for personal, non-commercial use on the following basis:
- Users must not use the Platform fraudulently (including hacking or scraping).
Unless otherwise stated, copyright and other intellectual property rights in the Platform and materials published on it (including photos or graphic images) belong to Flashmarket or Flashmarket's licensors. These works are protected by copyright laws and treaties worldwide.
Users may not modify digital or paper copies of any materials they print.
Users must ensure that Flashmarket's status as the author of materials on the Platform is always acknowledged and indicated.
Users may not use any material on the Platform or the Platform itself for commercial purposes without obtaining a license from Flashmarket.
Force Majeure
The parties are released from liability for non-fulfillment or improper fulfillment of the terms of this Agreement if proper fulfillment is impossible due to force majeure, i.e., extraordinary and insurmountable circumstances. Such circumstances do not include breaches of obligations by the parties’ contractors, lack of demand for goods in the market, lack of necessary funds, or similar issues.
If such circumstances persist for more than 3 (three) calendar days, the parties shall conduct additional negotiations to agree on acceptable alternative methods for fulfilling the Agreement or decide to terminate the Agreement early.
Governing Law
All disputes and disagreements that may arise shall be resolved by mutual agreement of the parties. In case of disagreement, disputes shall be resolved through judicial proceedings in accordance with Moldovian legislation by the Chișinău District Court.
Relationships arising from this Agreement are governed by Moldovian Jurisdiction.
Platform Functionality Changes/Termination
Flashmarket may, at any time, for any reason, and without notice or liability, modify, suspend, or terminate the operation of or access to the Platform or any part thereof.
